“Data Privacy Framework” means, as relevant, (i) the EU-US Data Privacy Framework as administered by the US Department of Commerce and approved by the European Commission as ensuring an adequate level of protection for Personal Data for the purposes of Article 45 GDPR; (ii) the UK Extension to the EU-US Data Privacy Framework approved by the competent authority of the United Kingdom as ensuring an adequate level of protection for Personal Data for the purposes of Article 45 UK GDPR; and (iii) the Swiss-US Data Privacy Framework as administered by the US Department of Commerce and approved by the Swiss Federal Administration as ensuring an adequate level of protection for Personal Data for the purposes of applicable Swiss data protection laws, in each case as in force, amended, consolidated, re-enacted or replaced from time to time.

"Labarin Tsaro" means the accidental or unlawful destruction, loss, alteration, unauthorized disclosure of, or access to, any Personal Data. For the avoidance of doubt, an unsuccessful attempt that does not result in the unauthorized access to Personal Data or to any of Strategy’s or Strategy’s sub-processor’s equipment or facilities storing Personal Data including, without limitation, pings and other broadcast attacks on firewalls or edge servers, port scans, unsuccessful logon attempts, denial of service attacks, packet sniffing (or other unauthorized access to traffic data that does not result in access beyond headers), or similar incidents shall not be considered a Security Incident.
"Sub-Processor" means any third party appointed by Strategy to process personal data.

Idan Abokin Ciniki ya kasa kin amincewa da alƙawarin ko musanya a cikin kwanaki talatin (30) bayan buga shi a kan dalilai masu ma'ana da rubuce-rubuce masu alaƙa da sirri ko amincin bayanan Keɓaɓɓu ko bin ƙa'idodin ƙayyadaddun kwangila, Dabarun na iya ci gaba da alƙawarin ko sauyawa. Idan Abokin ciniki ya ƙi amincewa da sabon mai sarrafawa, Abokin ciniki zai sanar da Dabarun a rubuce cikin kwanaki talatin (30) bayan sabunta jerin Sub-Processor mai dacewa kuma irin wannan ƙin yarda zai bayyana ingantattun dalilan abokin ciniki na ƙin yarda. Dabarun za su sami damar magance duk wani ƙin yarda ta, a cikin ƙwaƙƙwaran sa, ko dai zabar (i) ɗaukar kowane matakan gyara da Abokin ciniki ya nema a cikin ƙin yarda da shi (waɗanne matakan za a ɗauka don warware ƙin yarda na Abokin ciniki) sannan a ci gaba da amfani da Sub-Processor ko (ii) dakatar da / ko ƙare kowane samfur ko sabis wanda zai haɗa da amfani da mai sarrafa.
c. Dabarun za su yi amfani da Sub-Processors kawai bisa ga rubutacciyar yarjejeniya wacce ke ƙunshe da wajibai a kan ɗan kwangilar da ba su da wahala ga ɗan kwangilar da ya dace fiye da wajibcin Dabaru a ƙarƙashin wannan DPA.
d. A cikin taron Dabarun ya haɗa da Babban Mai sarrafawa don aiwatar da takamaiman ayyukan sarrafawa a madadin Abokin Ciniki bisa ga Dokokin Sirri na EU/UK, inda SubProcessor ya kasa cika wajiban sa, Dabarun za su kasance da cikakken abin dogaro a ƙarƙashin Dokokin Sirri na EU/UK ga Abokin ciniki don aiwatar da wajibcin wannan Sub-Processor.
Canja wurin bayanan sirri

Tsaro na Data Processing

3. Matakan don ba da damar Abokin Ciniki don yin ajiyar waje da adanawa yadda ya kamata don dawo da samuwa da samun dama ga Bayanan Keɓaɓɓen Abokin ciniki a cikin lokaci mai dacewa a cikin lamarin jiki ko fasaha; kuma
4. Tsari don gwaji akai-akai, kimantawa, da kimanta tasiri na matakan fasaha da ƙungiyoyi da Abokin ciniki ya aiwatar.
Sanarwa Cewar Tsaro
To the extent required by Privacy Laws, Strategy shall without undue delay notify Customer of any Security Incident, with further information about the Security Incident provided in phases as more details become available. For the avoidance of doubt, Strategy’s obligation to report or respond to a Security Incident, including without limitation, under this section is not and will not be construed as an acknowledgement by Strategy of any fault or liability of Strategy with respect to the Security Incident.
Audit

Customer acknowledges and agrees that our rights to audit our Sub-Processors referred to in the Transfers of Personal Data section above will be subject to the terms we have in place with each such Sub-Processor and will likely involve: (i) using external auditors to verify the adequacy of security measures including the security of the physical data centers from which the Sub-Processor provides the Services; (ii) ISO 27001 standards or other such alternative standards that are substantially equivalent to ISO 27001; and (iii) the generation of an audit report (“Report”), which will be the SubProcessor’s confidential information or otherwise be made available subject to a mutually agreed upon non-disclosure agreement covering the Report (“NDA”). Strategy may not be able to disclose such Report to Customer without permission from the SubProcessor. At Customer’s reasonable written request during the exercise of its audit rights under the Independent Determination section below, Strategy will request the permission to provide Customer with a copy of such Report so that Customer can reasonably verify the Sub-Processor’s compliance with its security obligations, provided that Customer acknowledges that the Sub-Processor may require Customer to enter into an NDA with such Sub-Processor before releasing the same.

To the extent required by Privacy Laws, and taking into account the nature of the processing, Strategy shall, in relation to the processing of Personal Data and to enable Customer to comply with its obligations which arise as a result thereof, provide reasonable assistance to Customer, through appropriate technical and organizational measures, in:
a. amsa buƙatun mutane bisa ga haƙƙoƙin su a ƙarƙashin Dokokin Sirri, gami da samarwa, sharewa ko gyara bayanan da suka dace, ko ta hanyar baiwa Abokin ciniki damar yin hakan, gwargwadon yadda hakan zai yiwu;
b. aiwatar da ingantattun hanyoyin tsaro da ayyuka da suka dace da yanayin bayanan Keɓaɓɓen don kare bayanan Keɓaɓɓen daga samun izini mara izini ko ba bisa ka'ida ba, lalacewa, amfani, gyara, ko bayyanawa;
c. sanar da hukumomin da abin ya shafa da/ko mutanen da abin ya shafa na kowane lamari na Tsaro;
d. gudanar da kimanta tasirin tasirin kariyar bayanai kuma, idan an buƙata, tuntuɓar tuntuɓar hukumomin da suka dace; kuma
e. shiga cikin wannan DPA.
Komawa ko Share bayanan Abokin ciniki
Saboda yanayin Sabis na MCS, Ƙarƙashin Ƙarfafawa na Dabarun yana ba Abokin ciniki iko da Abokin ciniki zai iya amfani da shi don dawo da bayanan Abokin ciniki a cikin tsarin da aka adana shi azaman ɓangare na Sabis na MCS ko share bayanan Abokin ciniki. Har zuwa ƙarewar Yarjejeniyar Gudanarwa tsakanin Abokin ciniki da Dabaru, Abokin ciniki zai ci gaba da samun ikon dawo da ko share bayanan Abokin ciniki daidai da wannan sashe Domin kwanaki 90 bayan wannan kwanan wata, Abokin ciniki na iya dawo da ko share duk wani bayanan Abokin ciniki daga Sabis ɗin MCS, dangane da sharuɗɗan da aka tsara a cikin Yarjejeniyar Gudanarwa, sai dai idan hukuma ko doka ta haramta ta gwamnati. (ii) zai iya ba da Dabarun ko Masu Gudanar da Sabis ɗin sa ga abin alhaki, ko (iii) Abokin ciniki bai biya duk adadin kuɗin da ya kamata a ƙarƙashin Yarjejeniyar Mulki ba. Bayan ƙarshen wannan kwanaki 90, Abokin ciniki zai rufe duk Dabarun asusun. Dabarun za ta share bayanan Abokin ciniki lokacin da Abokin ciniki ya nema ta hanyar kulawar Sabis na MCS da aka bayar don wannan dalili.
